How to Spot Fake Articles of Organization

How to spot fake articles of organization by matching the file number and filing receipt to the state record before the account opens.

TL;DR: Fake articles of organization are an LLC formation filing the state never accepted, or a real filing receipt edited after the office issued it, so onboarding treats a company as formed when the state record disagrees. The FBI's 2025 Internet Crime Report logged 22,364 AI-related complaints and $893,346,472 in adjusted losses, and described AI-enabled synthetic content as increasingly difficult to detect. A seal, a logo, or a page that merely looks filed will clear that file.

What Fake Articles of Organization Actually Are

Articles of organization are the public filing that forms a limited liability company with a state filing office. In New York, organizers file them with the Department of State under Limited Liability Company Law §203. The office returns a filing receipt, as a PDF on the acknowledgement email, showing the date of filing, the LLC's legal name, an extract of the articles, and the fees paid. A fake set of articles claims this proof when the named office has no matching record, or presents a genuine receipt whose visible fields no longer match the record the office holds.

The file arrives in two production families. Edited-after-creation starts from a genuine download, the acknowledgement, a plain copy, or a certified copy ordered from the state, and a field changes after the office issued the PDF. Generated-from-scratch builds a page that imitates a filing receipt, a state form, or a stamped articles packet without a corresponding acceptance. The question that decides the file is whether the named office accepted this record for this entity.

The title on the page is part of that question. A certificate of incorporation forms a corporation. Articles of organization form an LLC in states that use that title; other states title the LLC filing a certificate of formation. An operating agreement is the members' private contract. New York's Department of State requires members to adopt a written operating agreement and does not file it. Any person or business entity may sign as organizer, and the organizer may be a member or someone else entirely. A PDF that presents a member roster or ownership percentages as matter the filing office recorded is describing a record the articles were never required to carry. Treating a corporation's certificate as if it formed the LLC is the same category error, covered in how to spot a fake certificate of incorporation.

Neighboring PDFs get mislabeled as the articles. New York will attach a plain copy, a certified copy, or a certificate of existence to the same acknowledgement, and a biennial statement or certificate of publication is a later filing. A genuine certificate of existence can still be the wrong instrument for proving the company was formed.

Tells That Still Work, and the Ones That Don't

A crooked seal and a fuzzy logo still catch a crude paste-up. They miss a receipt that left the state's email and was altered later, and they miss a generated page built to resemble a public specimen. The FBI's 2025 report puts AI-enabled synthetic content in that category: high-quality, produced in volume, and increasingly difficult to detect. Document fraud in banking already showed how visual review loses that argument on statements and identity documents.

The file number is the tell that still carries weight. New York's filing receipt records the date of filing and the LLC's legal name, and that record has to resolve on the Department of State's entity search to the same name and date. Other states use their own file number and business search. A number that belongs to a different name, a number that does not resolve, or a certificate of formation offered under another state's receipt header is an issuer failure.

31 CFR 1020.220 is why the PDF sits in the onboarding packet. For a customer other than an individual, the rule's examples of existence documents include certified articles of incorporation, a government-issued business license, a partnership agreement, or a trust instrument. For an LLC, the parallel document is the articles of organization, or the state's equivalent title, plus the filing receipt. The section expects the bank to keep the document type, any identification number, the place of issuance, and the date of issuance, and to read those fields against the live search.

Tell What it still catches What it misses
Blurry seal, decorative logo, odd margin Crude paste-ups and scanned kits A clean filing-receipt PDF, edited or generated
File number or DOS ID versus the live search Invented numbers, wrong state, name or date mismatch A real number on a company the applicant does not control
Organizer, county, and service address versus the state's extract Fields changed after a genuine download A genuine receipt for an entity the applicant does not own
Same receipt or layout across unrelated applicants Serial reuse of one filing PDF A first-time generated file with a unique layout

A matched filing is the start of the review, which is why shell company red flags still apply after the PDF clears. Authentic articles can belong to a nominee, a mail-drop, or a company formed for someone else. FinCEN's August 11, 2026 final rule permanently removed the requirement for U.S. companies and U.S. persons to report beneficial ownership information, and FinCEN said it will delete previously reported information on U.S. persons. A domestic LLC packet has no federal ownership registry standing in for the state filing office.

How Detection Actually Works

Detection reads the file's story. Production method asks how the bytes were made: a state acknowledgement, an office-suite export, a design tool, or a generative pipeline. Timestamp trail asks whether the history fits the claimed issuance. States reissue copies, so a 2019 formation date on a file written last week can be a legitimate reorder. The trail should still look like a filing office or a copy order, and the visible fields should still match the live record. Edited-after-creation is the class where the receipt header stays put and a name, county, organizer, or service address changes afterward.

Issuer matching binds the PDF to the office named on the page. Legal name, DOS ID or file number, state, formation date, county, and registered agent or service address agree with that office's current extract. Consistency runs inside the PDF and across the packet. Entity type stays an LLC, and the legal name, including the Limited Liability Company, LLC, or L.L.C. ending where that state demands it, stays uniform. Disagreement among the articles, the application, and the live search is the finding. Agreement with the state record is the condition that counts.

Model artifacts are the residue of a synthesized page: compression and layout regularity a filing-office PDF does not show, a stamp that sits on the page like a picture, a logo standing where a filing receipt should be. Recycled patterns close the serial case: the same DOS ID, receipt crop, or template across unrelated legal names. When the state search is down, the jurisdiction publishes little, or a recent amendment might explain a name or address change, a person escalates.

What to Do with a Suspect File

Pull the entity on the issuing office's public search and compare legal name, identifier, formation date, and service or agent address to the PDF. If the identifier does not resolve, reject the upload and order a copy from that office, or require the filing acknowledgement the office actually sent. If the identifier resolves to a different name, hold the file until the office's history shows the amendment, conversion, or name change. When the search matches and the file still looks altered, compare the native PDF with any screenshot and the file's history with the claimed filing date, and ask for the original acknowledgement or the certified copy.

Serial reuse is an investigations event. The same receipt identifier or the same layout on two unrelated applications freezes both files. For a scored second look, check a document in the Watchdoc playground. The x-ray is production method, timestamps, issuer match, consistency, model artifacts, and recycled patterns. Formation documents that are genuine and still the wrong company sit with the rest of the packet in KYB document fraud detection.

Where Sphinx Fits

Sphinx Watchdoc runs the six checks, shows the x-ray, and returns a verdict a reviewer can defend. That stack reaches a 94.3% correct verdict, catches 2.8x more forgeries, and clears clean files in under 28 seconds, at $0.45 per document with no seats and no platform fee, across 1 million documents processed. The Watchdoc playground is free for the first file, with no email required, on a 50-document free tier. The job on this instrument is narrow: bind the PDF to the state filing before KYB treats the LLC as real.

Frequently Asked Questions

How can you tell if articles of organization are fake?

Resolve the file number or DOS ID at the state office named on the document and compare legal name, formation date, and service or registered-agent address. Visual defects still catch crude files. Competent fakes fail on a live-record mismatch, a receipt changed after download, a page generated without a filing, or the same receipt on unrelated applications.

What is the difference between articles of organization and a certificate of incorporation?

Articles of organization are the state filing that forms an LLC in jurisdictions that use that title. A certificate of incorporation is the formation filing for a corporation. Some states title the LLC filing a certificate of formation, so the check is the office and the entity type on the live record.

Do articles of organization show who owns the LLC?

They show that the filing office accepted a formation document for that name on that date. In New York, the organizer may be someone other than a member, and the operating agreement that sets member rights is not filed with the Department of State. Control of the company is a separate review from whether the articles match the state record.

What should a reviewer do when the PDF matches the state search?

Treat the filing as authentic and continue the review. A genuine set of articles can still belong to a shell, a nominee, or a company the applicant does not control. Match the PDF to the office, then test who will control the account.

Can a bank use FinCEN's ownership database instead of the state filing?

FinCEN's August 11, 2026 final rule permanently removed the requirement for U.S. companies and U.S. persons to report beneficial ownership information, and FinCEN said it will delete previously reported U.S.-person information. Domestic LLC existence still turns on the state filing. CIP still calls for documents or other methods that support a reasonable belief the bank knows the customer's identity.
