TL;DR: A fake board resolution is a certified copy of bank authority the board supposedly adopted, either edited after a real resolution existed or generated as a new document, naming the institution and who may open accounts and sign, and in what combination. The FBI's Internet Crime Complaint Center reported nearly $893 million in losses on AI-related complaints for 2025, in an April 6, 2026 press release. That is a broader fraud figure, not a rate for resolutions. A secretary of state stamp fails as a visual check, because a real resolution is not filed there and has no state seal to inspect.
What a Fake Board Resolution Actually Is
A board resolution in an account-opening file is the board's grant of authority. It names the bank, who may open accounts and sign, and in what combination. The board adopts the resolution. The secretary certifies a copy. Minutes of the meeting stay with the company.
California's Secretary of State says bylaws and minutes are not filed with that office. A resolution that never passed through the state can still be the company's real resolution. Unfiled is the ordinary case. A stamp from that office is the wrong thing to hunt for. Whether the entity exists and is in standing is a different document, covered in how to spot a fake certificate of good standing.
The Federal Reserve's January 2026 account-services instructions show how a real certification is constrained when a bank customer authorizes Federal Reserve accounts. The certifying official must be the secretary, an assistant secretary, or another officer of similar or higher rank. That official must not be listed in the Second Resolution, the paragraph that names the officers authorized to act. The resolution date must fall on or before the effective date of the authorization. A commercial bank's form is the bank's own. The same two checks travel: the person who certifies the copy is not the person the resolution empowers, and the meeting date does not come after the authority it claims to support.
The file arrives in two production classes. Edited-after-creation starts from last year's banking resolution, a law-firm form, or another entity's certified copy, then changes the bank name, a signer, a combination rule, or a date. Generated-from-scratch writes the recitals, the signer table, and the secretary's certificate in one pass, so the pages agree by construction. FinCEN's September 9, 2024 analysis of check fraud tied to mail theft found that 44 percent of the checks were altered and then deposited, and 26 percent were used as templates for counterfeits. Those percentages describe checks. They illustrate the two classes, a genuine instrument changed after it existed and a new instrument built from a template, and they are not a rate for board resolutions.
Tells That Still Work, and the Ones That Do Not

The certifier still has to sit outside the authority being certified. On the Federal Reserve form the certifying official must not appear in the Second Resolution. On a commercial resolution the secretary certifies that named people may sign, and the certificate fails its own job if the secretary is the only signer the account will accept. The date still works. The resolution date should be on or before the date the authority takes effect. A meeting dated after the account was already opened, with no later ratification, is a timeline problem the stamp cannot fix.
A secretary of state stamp fails as a tell. Unfiled is normal. California does not collect bylaws or minutes, so the absence of a state seal is what a genuine resolution looks like, and the presence of a state seal on a resolution is a reason to ask which office supposedly issued a document that office does not file.
Read the resolution against the rest of the authority in the file. The bank name should be the bank opening the account. The signers and the combination, any one, any two, or two over a dollar limit, should match the signature card. An operating agreement can grant overlapping signing power, and that contract is a different document, covered in how to spot a fake operating agreement. Agreement between a false resolution and a false signature card is not a pass. Disagreement is a fail.
How Detection Actually Works
The file's story is that the board adopted this authority on this date, and that a secretary who is not one of the empowered signers certified a true copy, on or before the authority took effect. Detection asks whether the bytes support that story.
Production method asks how the pages were made. A law-firm export, a later edit in a word processor, a scanned signed original, and a generative pipeline do not share a path, even when the resolved clauses look alike. Edited-after-creation leaves an older resolution under a later save, often with the bank name or the signer block as the last change. Generated-from-scratch has no earlier resolution underneath. The case note should name the class.
Timestamp trail asks whether creation and modification fit the meeting date and the certification date. A file saved years after the meeting can be a fresh copy of an old resolution. A document born complete the hour it was uploaded, with the signer table as the only late edit, reads differently. Scans add noise.
Issuer matching asks who could have produced this page. The issuer is the company, through its secretary or assistant secretary, not the secretary of state. California will not have a filed copy to compare. The legal name on the resolution still has to match the formation record and the account application. The certifying official's title has to be secretary, assistant secretary, or similar or higher, on the model of the Federal Reserve instructions, and that person has to be absent from the empowered list.
Consistency is the inward check. Bank name, signer names, combination rules, and dates have to agree with the certification paragraph and with the signature card. A generated resolution produces that agreement by construction. Internal agreement is not authenticity. Disagreement is a fail. Model artifacts are what a generated certificate leaves when the prose, the signature block, and the layout do not come from that company's prior resolutions. Recycled patterns are the same certified copy, the same secretary signature, or the same footer on an unrelated entity. One reviewer with one file will not see the repeat. The wider pattern on banking documents is covered in document fraud in banking.
What to Do with a Suspect File
Hold the upload until the certifier, the date, and the signer list survive a comparison the applicant does not control. Read the certificate block before the resolved clauses. The person who certifies the copy should not be an empowered signer. On a Federal Reserve-style resolution, that person should hold a secretary-level office or higher and should be absent from the Second Resolution. The resolution date should be on or before the date the authority starts. A later ratification has to be its own document.
Compare the institution name, the signers, and the combination rule with the signature card and the application. A mismatch is the case. A match still leaves an edit after creation open, because two pages can be written to agree. If the company is thin on operations, ownership, or address, the resolution does not cure that. Shell company red flags are the separate read. When the text matches and the file still looks rewritten, ask whether the signer block changed after the rest of the resolution was produced. For a scored read of that history, check the file. The x-ray covers production method, timestamps, issuer match, consistency, model artifacts, and recycled patterns. That read does not replace the comparison to the signature card.
Where Sphinx Fits
Watchdoc scores the resolution and shows the x-ray a reviewer can point to. Sphinx's published product figures include 2.8x more forgeries caught, at $0.45 per document. The Watchdoc playground is free for the first file. Test the certifier and the date against the file's history before the named signers are allowed to open the account.
Frequently Asked Questions
How can you tell if a board resolution is fake?
Check that the person who certified the copy is not one of the signers the resolution empowers, and that the resolution date is on or before the date the authority takes effect. Compare the bank name, the signers, and the combination rule with the signature card. Visual defects still catch crude forgeries. Competent fakes fail when the signer block was edited after the resolution was created, the pages were generated together, or the same certified copy appears on an unrelated entity.
Does a board resolution get filed with the secretary of state?
No. California's Secretary of State states that bylaws and minutes are not filed with that office. A genuine banking resolution lives with the company. The absence of a state stamp is normal. A state stamp is not evidence that the board adopted the authority, because that office is not the issuer.
Who can certify a board resolution for a bank?
On the Federal Reserve's account-services form, the certifying official must be the secretary, an assistant secretary, or another officer of similar or higher rank, and must not be listed in the Second Resolution. A commercial bank's form is the bank's own. The check that still works is the same separation: the certifier is not the empowered signer.
What date should appear on a board resolution?
The date the board adopted the resolution should fall on or before the effective date of the authority, such as the authorization list the resolution supports. A file dated after the account was already opened needs a real ratification or a real explanation. A date that merely sits in chronological order on a generated page does not prove the meeting happened.
